These Terms and Conditions govern your use of the OpenWorx website and services. By accessing or using our services, you agree to these terms.
1. Services
OpenWorx provides digital services including but not limited to:
-Website design and development
-Web and email hosting
-Domain registration
-Social media setup and management
-NFC products and related services
Specific service details, timelines, and pricing will be outlined in written quotations or agreements.
2. Client Responsibilities
You agree to:
-Provide accurate and complete information
-Supply required content and materials on time
-Ensure that all supplied content is lawful and does not infringe on third-party rights
-Delays caused by missing or late client input may affect project timelines.
3. Payments
-All fees are payable as agreed in quotations or invoices
-Late payments may result in service suspension
-Hosting, domains, and subscriptions are payable in advance unless otherwise agreed
-All prices are exclusive of VAT unless stated otherwise.
4. Intellectual Property
Unless otherwise agreed:
-All intellectual property remains the property of OpenWorx until full payment is received
-Upon payment, the client receives usage rights for the final deliverables
-OpenWorx reserves the right to display completed work in portfolios and marketing material
5. Hosting and Third-Party Services
OpenWorx uses third-party providers for hosting, domains, and infrastructure. While we take care in selecting partners, we cannot be held liable for outages or failures beyond our reasonable control.
6. Limitation of Liability
OpenWorx shall not be liable for:
-Loss of profits, data, or business interruption
-Indirect or consequential damages
-Issues arising from third-party services
-Our liability is limited to the value of the services paid for.
7. Termination
Either party may terminate services with written notice, subject to:
-Outstanding payments
-Minimum contract terms (if applicable)
-No refunds will be issued for services already rendered.
8. Changes to Terms
OpenWorx reserves the right to update these Terms and Conditions at any time. Continued use of our services constitutes acceptance of the updated terms.
9. Governing Law
These Terms and Conditions are governed by the laws of the Republic of South Africa.
